Due to continued business growth, our client is seeking a Group Company Secretary to strengthen governance oversight and statutory compliance across the Group! The role requires deep company law expertise and the ability to lead governance processes across multiple regulated entities.
Location
Duties for this role include, but are not limited to:
- Providing group-wide oversight of corporate governance, statutory compliance and company secretarial activities.
- Acting as trusted adviser to Boards and senior management on governance and regulatory matters.
- Preparing and distributing Board packs for scheduled and ad hoc meetings across Group entities and committees.
- Attending meetings to minute proceedings, track action points and ensure timely follow-up.
- Overseeing contracts, delegations of authority and reserved matters.
- Maintaining Director registers, attendance records and interest registers.
- Ensuring compliance with legal, regulatory and fiduciary obligations in each jurisdiction.
- Developing and maintaining governance policies and procedures.
- Managing ESG reporting requirements and related governance developments.
- Managing Guernsey Registry filings, annual validations and structure charts.
- Acting as super user of registry portals and supporting internal training where required.
- Managing registered office and registered agent entities, including incorporations and migrations.
- Supporting Board effectiveness reviews and governance best practice initiatives.
Skills / Qualifications
The ideal candidate will be CGI or ICSA qualified with at least seven years' experience in a senior company secretarial role, ideally within the trust or fiduciary sector. They will possess thorough knowledge of company law and regulatory requirements across multiple jurisdictions and have experience designing and maintaining governance frameworks. Strong interpersonal and communication skills are essential, alongside the ability to manage deadlines and engage confidently with Boards and senior stakeholders. Experience using Board management software and supporting governance reviews would be advantageous. Candidates must hold the right to live and work in Guernsey.
