Our client is seeking to recruit a Company Secretary.

Guernsey, Channel Islands

Responsibilities

Coordinate all board meeting administration matters including, the collation, production and distribution of board papers, minutes and matters arising.
Attend board meetings and take the minutes and distribute drafts in line with agreed client timeframes.
Ensure all matters arising from board meetings are appropriately tasked and followed up.
Maintain statutory corporate registers as required including, the issue and/or cancellation of share certificates.
Prepare minutes for ad hoc board and shareholder meetings, including AGMs, AGRs and EGMs as required.
Assist with the take-on procedures for new clients as directed by the client service teams, including the gathering of due diligence, preparation of first minutes, appointments of directors, the drafting and/or issue of memorandum and articles of incorporation.
Prepare and submit filings at the Guernsey registry, including incorporation of new companies, dissolution of existing companies, amalgamations and other conversions.
Review form and content of minutes to ensure compliance with company law.
Provide training and support to staff in respect of requirements of Company Registry filings and all company law related matters.
Adhere to the Staff handbook at all times.
Attend and actively participate in team meetings when required.
Complete timesheets accurately and on time.

Skills / Qualifications

The ideal candidate will have previous experience in a similar role, ideally from a fiduciary background and will be qualified by experience. Applicants will work well within a team and share the workload efficiently as well as working well on their own initiative. Those with a knowledge of corporate structures and experience of taking minutes will be preferred. The successful candidate will be able to train one-to-one, as well as the ability to foster good relationships at all levels. The role will suit a reliable and hard-working individual who is ethical and diligent with excellent communication and interpersonal skills, who is flexible enough to maintain high quality work in a changing environment and can lead by example.
