Guernsey, Channel Islands


Duties will include, but will not be limited to:

Convening and attending board and committee meetings.
Liaising with Board members and other relevant parties in respect of meeting arrangements.
Managing the timely preparation of agendas and actioning points and minutes arising from each meetings.
Providing company secretarial support for the set-up of corporate entities and LP’s in various jurisdictions as well as maintaining company records, share and registrar functions and system maintenance.
Making stock exchange announcements as and when required.
Coordinating the preparation of board packs and their timely circulation and dispatch in conjunction with the fund administration teams.
Preparing notices, proxies and other supporting documents for General Meetings, including liaising with relevant legal advisors.
Ensuring the timely dispatch and collation of proxies where the client entity does not use an external registrar and liaising with the relevant administration team to ensure a quorum is obtained.
Liaising with external Registrars in respect of the collation of proxies for relevant client entities.
Ensuring that statutory filings and payment of relevant fees are completed within statutory time frames.
Maintaining the Company Secretarial Meeting Planner and Calendar.
Assisting in coordinating Company Secretarial aspects of new client take-on procedures.
Ensuring that databases and Document Management Systems are maintained in accordance with agreed procedures.

Skills / Qualifications

The ideal candidate will be ICSA Qualified or training towards this qualification with relevant experience working in a Company Secretarial or fund administration environment with knowledge of UKLA Listing Rules, MAR and the local regulatory framework. This role will suit a highly motivated, efficient and well organised individual with good experience of writing accurate minutes, the ability to keep clear and concise records and working knowledge and experience of Viewpoint would be desirable.
