Our client, a financial institution in Guernsey, is seeking to recruit an Assistant Company Secretary.


Guernsey, Channel Islands


Carry out the administration of all matters relating to corporate governance, such as assisting with the preparations for Board Meetings and Board Committee meetings.
Maintain all statutory books and the filing of all appropriate company secretarial and corporate returns for the Companies in all relevant jurisdictions.
Oversee and assist with secretarial services provided to Management Committees.
Ensure the timely payment of corporate fees and the submission and filing of all regulatory and corporate returns as applicable to the Companies, except where otherwise delegated by the Boards.
Maintain oversight and act as custodian of corporate policies, procedures and guidelines, ensuring formal adoption and timely reviews are carried out by the Boards.
Ensure that all mandatory and best practice corporate governance standards are maintained across the Companies.
Assist with drafting of disclosures for financial statements in relation to governance and control structures in addition to Co sec review of financial statements across all jurisdictions.
Offer support with liaising with regulatory bodies including the GFSC and relevant foreign regulators.
Hold responsibility for coordinating the Companies’ corporate affairs, ensuring delivery against statutory and regulatory corporate governance requirements.
Maintain oversight and act as custodian of the significant corporate records, contracts and agreements of the Companies.
Assist with ensuring compliance with both current and upcoming regulatory requirements in relation to corporate governance arising in all jurisdictions.
Provide advice to management on matters pertaining to all applicable corporate governance and statutory requirements.
Maintain oversight and act as custodian of company policies, procedures and guidelines.
Assist to maintain oversight and continuity of all corporate regulatory and commercial registrations.
Undertake additional responsibilities as required of the role.

Skills / Qualifications

The ideal candidate will have a high level technical and professional record of accomplishment held in a corporate administration environment and will be educated to Degree level or equivalent. Applicants will have a working knowledge of Guernsey’s legislative and regulatory requirements, as well as previous successful boardroom and regulator/s experience. The successful candidate will be a proven communicator with people at all levels and will be able to juggle competing priorities and multiple stakeholders. The role will suit a well organised individual with proven relationship building abilities who can maintain confidentiality at all times.
