Our client, a busy and successful fund/property investment company is seeking an Assistant Company Secretary.

Responsibilities

Prepare and manage agreements, leases, legal forms, tax forms, FATCA and CRS submissions, annual financial accounts and other official documents for signature by the relevant party.
Liaise with shareholders, directors, overseas registered agents and other officers of a company in relation to various matters.
Monitor changes to company law over various jurisdictions specifically in Guernsey, the BVI and the Isle of Man.
Liaise with accountants, lawyers, property managers and other professional advisers in relation to various corporate matters.
Draft company written resolutions, forms and various legal documentation.
Assist in corporate filing of special resolutions/particulars of the directors/documents/tax returns/financial accounts to the relevant party within a timely manner.
Maintain a register of beneficial owners for submission to the registrar.
Assist and prepare the relevant documentation in relation to the appointment/termination of directors, secretaries and other company officers.
Assist in the incorporation and de-registration of companies and matters related therewith.
Collate and prepare to assist the certification of company documents.
Assist with and prepare powers of attorney and authorised signatory lists.
Other matters as reasonably required by Directors and other parties from time to time.
Maintain hard and electronic statutory files and registers such as minute books and other statutory documents in accordance with company law.

Skills / Qualifications

The ideal candidate will have minimum of 3 years’ experience in a similar role with strong written and verbal communication skills. Applicants will demonstrate a proficiency with Microsoft Office, while preference will be given to applicants who have experience with Viewpoint, this is not essential. The successful candidate will display a high level of organisational coupled with excellent time management and the ability to work with deadlines. This role will suit a meticulous quick learner who can adapt easily to new software whilst also demonstrating strong interpersonal skills and a high level of professionalism.
